Update: Draft bill on the security screening of investments, mergers and acquisitions
In previous news items of 14 September 2020 and 8 March 2021, I informed you of the draft bill on the Economy and National Security Review. In the news item of 8 March 2021, I reported that the cabinet had agreed on 18 December 2020 to send the bill to the Council of State for its advice and that the bill would be made public when submitted to the Lower House.

‘Of course employers can ask whether you have been vaccinated’, suggested the Minister of Health during the last coronavirus press conference. ‘Employers may ask about vaccination status, is suddenly the opinion of the government’, was the headline in the Volkskrant (a Dutch national newspaper), shortly afterwards.

Consultation on Temporary turbo liquidation transparency Act
On 28 June 2021 the Minister of Legal Protection presented the preliminary draft of the Temporary turbo liquidation transparency Act for consultation. The preliminary draft bill aims to implement temporary amendments to the statutory rules concerning the so-called turbo liquidation as included in Book 2 of the Dutch Civil Code. The proposed amendments mainly concern the introduction of an obligation for directors to draw up a financial account and the possibility of imposing an administrative ban for directors in the event of abuse.

On 1 July 2021, the Management and Supervision of Legal Entities Act (hereinafter referred to as: the "Act") entered into force, except for two parts which will enter into force at a later date that still needs to be determined. In November 2020, we published a news article regarding the most significant changes under the Act. Below, we will summarize certain key elements of the Act. In addition, some remarks regarding the applicable transitional law will be made.

The Guideline on General Criteria for Working from Home: an interpretation of the criterion 'working from home where possible'
Working from home whenever possible. This has been the new standard since the beginning of the corona pandemic. Because there is lack of clarity as to when working from home is considered not possible, the Dutch government has developed some criteria in the ‘Guideline on General Criteria for Working from Home’ to help employers in their assessment.

Changes to the scope of the annual accounts exemption as a result of Brexit
As a result of Brexit, the United Kingdom (hereinafter the ‘’UK’’) is no longer bound by EU law as of 1 January 2021. In a previous news item, we already noted that this may have consequences for legal entities incorporated in the UK that perform their activities entirely in the Netherlands. Brexit also has direct consequences for Dutch legal entities. One of these consequences is that Dutch group companies belonging to a group headed by a UK legal entity may no longer be able to apply the annual accounts exemption of section 2:403 of the Dutch Civil Code (DCC).

BILL ON THE AMENDMENT BOOK 6 OF THE DUTCH CIVIL CODE RELATING TO THE SHORTENING OF THE STATUTORY PAYMENT TERM TO 30 DAYS
On 16 March 2021, a bill to amend Section 6:119a (6) of the Dutch Civil Code (DCC) in connection with shortening the statutory payment term to 30 days was submitted to the House of Representatives. The bill sets out that large companies are not allowed to agree on payment terms of longer than 30 days with SMEs (including small independent businesses).

Bill on implementation of directives on sale of goods and delivery of digital content
On 18 February 2021, the Bill on Implementation of Directives on Sale of Goods and Provision of Digital Content (the "Bill") was submitted to the Dutch House of Representatives. The Bill regulates the implementation of (i) Directive (EU) 2019/771 of the European Parliament and of the Council of 20 May 2019 on certain aspects concerning contracts for the sale of goods, amending Regulation (EU) 2017/2394 and Directive 2009/22/EC, and repealing Directive 1999/44/EC and (ii) Directive (EU) 2019/770 of the European Parliament and of the Council of 20 May 2019 on certain aspects concerning contracts for the supply of digital content and digital services which will lead to an amendment of Book 7 of the Civil Code.

The Working Conditions Decree has been temporarily amended in order to prevent or reduce the risk of COVID-19 infection at the workplace
The Working Conditions Decree contains rules relating to safety, health and wellbeing at the workplace. Article 3.2 of the Working Conditions Decree contains general requirements with which the workplace has to comply. These requirements are temporarily expanded due to the COVID-19 pandemic.
