Legislative bill to amend shareholder dispute resolution procedure

Act on the Transposition of the European Mobility Directive enters into force

On 1 September 2023, the Act on the Transposition of the Directive on cross-border conversions, mergers and demergers (the “Act”) will enter into force. The Act seeks to transpose European Directive (EU) 2019/2121 (the "Mobility Directive") into Dutch law. The Mobility Directive, which entered into force on 1 January 2020 and should have already been transposed into national law by 31 January 2023, aims to promote freedom of establishment for capital companies within the European Union ("EU"), while also strengthening the rights of stakeholders. This is achieved by introducing new rules on cross-border conversions and demergers and adapting the already existing rules on cross-border mergers.

Reporting obligation CO2 emissions

In 2019 the so-called Climate Agreement was concluded in the Netherlands. One of the commitments is to reduce annual CO2 emissions from work-related passenger mobility by at least 1.5 megatons by 2030. The agreement was further elaborated in the decree "CO2 reduction from work-related passenger mobility".

The restructuring plan under the WHOA

The Act on the court approval of private restructuring plans (Wet Homologatie Onderhands Akkoord or WHOA) makes it easier for a company in financial distress to sit down with its creditors and shareholders at the negotiating table in order to agree upon a reduction of its debt burden as set out in a restructuring plan. Such a restructuring plan can be submitted to the court for ratification (homologatie). After ratification of the restructuring plan, all affected creditors or shareholders are bound by the terms of the plan.

WHOA SPECIAL - 1. Teil

Das niederländische Gesetz zur Bestätigung des außergerichtlichen Vergleichs (Wet Homologatie Onderhands Akkoord, im Folgenden: das WHOA) ist, ebenfalls wie das Unternehmensstabilisierungs- und -restrukturierungsgesetz (StaRUG), am 1. Januar 2021 in Kraft getreten. Ebenso wie das StaRUG, führt das WHOA ein präventives Restrukturierungsverfahren ein, dass eine effektive Restrukturierung eines Unternehmens in der Krise ermöglicht, um Insolvenzen von lebensfähigen Unternehmen abwenden zu können.

In diesem Newsletter werden wir eine Bilanz nach 2,5 Jahren WHOA ziehen und einen kurzen Überblick über das niederländische WHOA-Verfahren geben. Zudem werden wir bestimmte Themen des WHOAs mit dem StaRUG vergleichen.

Earlier clarity on reintegration obligations for small and medium-sized employers

Recently the Minister of Social Affairs and Employment announced several intended legislative amendments. One of the proposed amendments concerns the possibility for small and medium-sized employers (up to 100 employees) – after the first year of illness – to enter into mutual agreement with their ill employees to finalize reintegration in the first track, if this reintegration no longer seems appropriate. In concrete terms, this means that in such cases, the ill employee will no longer be required to reintegrate back to work with the help of the employer in order to resume his/her duties within the current organization.

PROVISIONALLY ENFORCEABLE JUDGMENT

Legal proceedings usually end with a judgment. If the judgment is not voluntarily complied with, the bailiff can enforce the judgment. The bailiff then proceeds with the execution of the judgment. The enforcement of a judgment is suspended in the event that the party against whom judgment has been given lodges an ‘ordinary legal remedy’ (opposition (verzet), appeal (hoger beroep) or cassation (cassatie)), unless the judgment has been declared provisionally enforceable. In practice, a significant number of judgments are declared provisionally enforceable. What exactly does this mean and what are the (im)possibilities when a judgment has been declared provisionally enforceable and the execution of the judgment has already begun?

Ill due to an excessive workload: entitled to damages?

On 8 September 2022 the Court of Appeal of 's-Hertogenbosch awarded an ill employee damages amounting to EUR 28,155.36 gross. The employee in question had been working as a caregiver in a residential care centre for the elderly since 1 September 2007, where she performed care duties, solely/mainly during the night. She initially performed these care tasks together with a care assistant. From June 2016 she had to perform these care tasks by herself, without a care assistant. Due to the resulting excessive workload, the employee eventually became ill. Resumption of her own work turned out to be impossible. After 104 weeks of illness, the employer requested and received permission (from the UWV) for termination of the employment contract, following which the employment contract was terminated on 1 November 2021.

Security for legal costs by foreign parties

Legal proceedings often end with a verdict and an order for costs. The default rule is that the "loser" of the legal proceedings shall pay such legal costs. In legal proceedings involving two Dutch parties, enforcement of a verdict – and with that also the payment of the order to pay the costs – seldom poses a problem (unless the losing party has no recourse). That would be different if the losing party is domiciled abroad. If a foreign party loses legal proceedings in the Netherlands, this may cause enforcement issues, especially when no enforcement treaty applies between the Netherlands and the losing party’s country.

In previous news items, I have discussed the bill on the security screening of investments, mergers and acquisitions (the Vifo Act). In my news item of 22 September 2021 I reported that the Vifo Act, together with the explanatory memorandum, had been submitted to the Lower House on 30 June 2021. On 19 April 2022, the Vifo Act was adopted by the Lower House and on 17 May 2022, the Vifo Act was passed by the Senate.

(Partially) paid paternal leave as of 2 August 2022

On 2 August 2022, the Paid Parental Leave Act entered into effect. This regulation allows parents with an employment contract to take (partially) paid parental leave for a period of 9 out of the total of 26 weeks of parental leave. The condition is that the paid parental leave is taken during the first year of the child’s life.

The Bill Working Wherever you Want approved by the Lower House of Parliament

On January 27th 2021, 2 political parties (D66 and Groenlinks) submitted the Bill Working Wherever you Want. This Bill has now been approved by the Lower House of Parliament. The Bill intends to facilitate employees in being able to enforce (partially) working from home. After all, research has shown that a majority of people working from home during the corona crisis have experienced this as pleasant, while there are still employers who require their employees to come to the office, despite working from home being an option.

Extension of the duty to inform at commencement of the employment contract

On 20 June 2019 the European Directive on Transparent and Predictable Employment Conditions ("the Directive") was adopted. As the Directive must be integrated in the Dutch legal system by 1 August 2022, a legislative proposal was submitted to Parliament last year. The legislative proposal was adopted by the Senate on 21 June 2022. Based on this new legislation, the existing non-exhaustive list of subjects in respect which the employer has to inform the employee in writing or electronically will be extended.

WHOA GESETZ: Präventives restrukturierungsverfahren

Vor mehr als einem Jahr ist das niederländische Gesetz zur Bestätigung des außergerichtlichen Vergleichs (Wet Homologatie Onderhands Akkoord), im Folgenden das WHOA Gesetz genannt), in Kraft getreten. Dieses Gesetz erleichtert es einem Unternehmen, das sich in einer finanziellen Notlage befindet, sich mit seinen Gläubigern und Gesellschaftern zusammenzusetzen und Vereinbarungen zu treffen, um die Schuldenlast zu verringern. Das WHOA Gesetz führt ein präventives Restrukturierungsverfahren ein, um ein Insolvenzverfahren und die negativen Folgen zu vermeiden. Seit der Einführung des WHOA Gesetzes wurden bereits 13 Vergleiche (akkoorden) von den Gerichten bestätigt und drohende Insolvenzen abgewendet.

Dutch Senate adopts new Bill to improve gender diversity on corporate boards in the Netherlands

On 28 September 2021, the Dutch Senate adopted the ‘Bill on Gender Balance in Management and Supervisory Boards’, which is expected to enter into force on 1 January 2022. The legislation distinguishes listed companies and so-called large companies: for the approximately 100 listed companies in the Netherlands, an appointment quota will apply. For the approximately 5,000 large companies in the Netherlands, a target figure will apply. Both will be briefly explained in the article.

Consultation on Temporary turbo liquidation transparency Act

On 28 June 2021 the Minister of Legal Protection presented the preliminary draft of the Temporary turbo liquidation transparency Act for consultation. The preliminary draft bill aims to implement temporary amendments to the statutory rules concerning the so-called turbo liquidation as included in Book 2 of the Dutch Civil Code. The proposed amendments mainly concern the introduction of an obligation for directors to draw up a financial account and the possibility of imposing an administrative ban for directors in the event of abuse.

Der Brexit hat auch direkte Folgen für niederländische juristische Personen. Eine dieser Folgen ist, dass niederländische Gesellschaften, die zu einem Konzern gehören, an dessen Spitze eine britische juristische Person steht, möglicherweise nicht mehr in der Lage sind, die Jahresabschlussbefreiung gemäß Artikel 2:403 des niederländischen Bürgerlichen Gesetzbuchs (NBG) anzuwenden.

BILL ON THE AMENDMENT BOOK 6 OF THE DUTCH CIVIL CODE RELATING TO THE SHORTENING OF THE STATUTORY PAYMENT TERM TO 30 DAYS

On 16 March 2021, a bill to amend Section 6:119a (6) of the Dutch Civil Code (DCC) in connection with shortening the statutory payment term to 30 days was submitted to the House of Representatives. The bill sets out that large companies are not allowed to agree on payment terms of longer than 30 days with SMEs (including small independent businesses).

Gesetzentwurf zur Umsetzung der Warenkauf-Richtlinie und der Digitale-Inhalte- Richtlinie

Am 18. Februar 2021 wurde dem niederländischen Abgeordnetenhaus der Gesetzentwurf zur Umsetzung der Richtlinien über den Verkauf von Waren und die Bereitstellung digitaler Inhalte vorgelegt. Der Gesetzentwurf regelt die Umsetzung (i) der Richtlinie (EU) 2019/771 des Europäischen Parlaments und des Rates vom 20. Mai 2019 über bestimmte vertragsrechtliche Aspekte des Warenkaufs, zur Änderung der Verordnung (EU) 2017/2394 und der Richtlinie 2009/22/EG sowie zur Aufhebung der Richtlinie 1999/44/EG  und (ii) der Richtlinie (EU) 2019/770 des Europäischen Parlaments und des Rates vom 20. Mai 2019 über bestimmte vertragsrechtliche Aspekte der Bereitstellung digitaler Inhalte und digitaler Dienstleistungen was zu einer Änderung von Buch 7 des Bürgerlichen Gesetzbuchs führen wird. Die Richtlinien sind am 11. Juni 2019 in Kraft getreten und müssen bis zum 1. Juli 2021 in nationales Recht umgesetzt werden.

Introduction of the UBO Register in the Netherlands

On 27 September 2020, a UBO register will be introduced in the Netherlands. Das niederländische Oberste Gerichtshof erschafft Klarheit über Übertragung von Forderungen von einer Bank auf eine Nicht-Bank

Am 10. Juli 2020 fällte der Oberste Gerichtshof zwei Urteile, in denen er Vorfragen vom Gericht Amsterdam beantwortete, die von großer Bedeutung für die Finanzierungspraxis sind.

Die Vorfragen wurden vom Gericht Amsterdam in zwei ähnlichen Verfahren gestellt. In beiden Verfahren trat eine Bank Forderungen aus gewerblichen Immobilienkrediten im Wege der Abtretung an eine Nichtbank ab. Die Kreditnehmer bestritten die Abtretung und vertraten die Auffassung, dass die Forderungen angesichts ihrer persönlichen Beziehung zur Bank nicht abtretbar seien.

DETAILS OF TEMPORARY EMERGENCY BRIDGING MEASURE FOR JOB RETENTION ("NOW") ARE PUBLISHED

Recently the Government published the details of the NOW. The purpose of the NOW is to support employers by means of a subsidy to keep their employees employed as much as possible. In the event of a loss in turnover of at least 20%, the employer will receive a subsidy for wage costs for three months the amount of which is proportionate to the loss in turnover. It is expected that the subsidy can be applied for as of 6 April 2020. The application period runs until 31 May 2020.

Employers in the Netherlands can save on labour costs in case of less work due to coronavirus

The Dutch Cabinet has classified the coronavirus as an exceptional circumstance that does not fall under the normal entrepreneurial risk. This means that Dutch companies coping with financial problems as a result of the spread of the coronavirus can apply for a short-time working permit at the Ministry of Social Affairs and Employment. By means of a reduction in working hours, non-worked hours are paid by the UWV (“Uitvoeringsinstituut Werknemersverzekeringen”) as unemployment benefit (“WW-uitkering”).

Bill to introduce the UBO-register adopted by the Lower House of Parliament.

On 10 December last, the Lower House of Parliament approved the bill for the introduction of the UBO-register (the bill entitled "Implementation Act for Registration of ultimate stakeholders of companies and other legal entities"). However, entry into force of the Act can only take place after approval of the bill by the Senate, where it is currently still being debated. The originally planned entry into force at the beginning of January 2020 will therefore not be achieved. The UBO-register is expected to be introduced in the spring of 2020.

Employers beware: pay a lower WW-contribution as of 1 January 2020

On 1 January 2020 the Balanced Labour Market Act (Wab) will come into force. One of the measures is an Unemployment Insurance Contributions (hereinafter ‘WW-contribution’) Differentiation based on the type of employment contract. In short, this means that from 1 January 2020 an employer will pay a low WW-contribution on the salary of an employee with a permanent contract and a high WW-contribution on the salary of an employee with a fixed-term contract.

DUTCH CHILD LABOUR ACT: HAVE YOU CHECKED YOUR SUPPLY CHAIN?

On 14 May 2019, the Dutch Senate adopted a bill to combat child labour (hereafter: the Child Labour Act (Wet Zorgplicht Kinderarbeid)). On the basis of this Act, any company that sells goods to Dutch end-users must exercise due care in order to prevent those goods from being composed using child labour. Under the Child Labour Act company directors can even be prosecuted under criminal law.

GDPR UPDATE – the processing of personal data of employees

Just when the dust regarding the entry into force of the GDPR seemed to have settled, the Dutch Data Protection Authority (DPA) made public on 16 July 2019 that it imposed a fine of €460,000.- and an incremental penalty payment on the hospital HagaZiekenhuis. Reason for us to briefly consider the enforcement of the GDPR since its entry into force. In addition to this, we will focus on the cutting edge between the GDPR and employment law, by providing a brief overview of the responsibilities of the employer under the GDPR. Within that context, we will briefly touch on the difficulties that employers seem to experience with regard to the implementation of the GDPR and discuss some of the most recent updates in this respect.

Explanation and interpretation of M&A documentation

On 19 March 2019, the Amsterdam Court of Appeal ruled in a case regarding the interpretation of provisions of M&A documentation. The dispute between the parties concerned the interpretation of certain provisions laid down in an earn out-agreement. The Court of Appeal ruled that a linguistic interpretation of agreements will be the guiding principle if professional parties have been assisted by lawyers and accountants during the negotiations.

Bearer shares conversion act entered into force on 1 July

On 1 July 2019, the "Act on the conversion of bearer shares" (hereinafter: the "Act") entered into force. The Act enables the identification of all holders of bearer shares issued by Dutch NVs and companies established in the Caribbean part of the Netherlands (Bonaire, Statia and Saba).

The purpose of the Act is to prevent tax evasion, money laundering and terrorist financing. With the introduction of the Act, the legislator is following the recommendations of, among others, the Financial Action Task Force.

An extensive due diligence investigation: necessary or unnecessary?

The mergers & acquisitions market is booming again. The value of the transactions in 2018 has risen considerably compared to the year 2017. Inherent in this development is the fact that generally sellers are in a better position during the acquisition process. The more choices a seller has, the more he can demand from interested parties. Potential buyers are therefore inclined to act faster and to proceed sooner. In the event that a potential buyer feels that he is under pressure, such a potential buyer may decide to carry out a due diligence limited in scope or no due diligence investigation on the target company at all. Interpretation of a right of first refusal provision in the articles of association of a B.V.

In a recent case, the District Court Midden-Nederland has ruled in a dispute about a statutory right of first refusal provision in a joint venture in the form of a Dutch private company with limited liability (B.V.) with two shareholders, each holding 50% of the shares. The articles of association of the B.V. included a right of first refusal provision, which stipulated, among other things, that if control of a shareholder changed within the meaning of the Code of Conduct with respect to mergers as adopted by the Dutch Economic and Social Council and this shareholder had direct or indirect control over the joint venture (also as referred to in that Code of Conduct), this shareholder had to offer its shares to the other shareholder.

EU Proposed Screen Framework on FDI - Substantial Influence on Foreign Investment

On 13 June 2018, EU ambassadors agreed on the Council’s position on the Proposal for a Regulation of the European Parliament and of the Council establishing a framework for screening of foreign direct investment into the European Union (hereinafter referred to as the “Regulation Proposal”). The Commission submitted the Regulation Proposal on 13 September 2017 and the European Parliament voted and approved the Regulation Proposal at its plenary session on 5 June 2018 after reviewing and amending it as a whole. Currently, the responsible committee, the Committee on International Trade (INTA), will force the Commission and the Council of the EU to enter into negotiations on this position. It is expected to reach a final approval in 2019 after which the regulation will be directly applicable in all EU Member States, including the Netherlands, without any further steps to incorporate it into the national legislation.

Chinese Government Further Liberalizes Market Access for Foreign Investment —— Release of 2018 Negative List

The National Development and Reform Commission (“NDRC”) and the Ministry of Commerce (“MOFCOM”) jointly promulgated the 2018 version of the Special Administrative Measures on Access to Foreign Investment 2018 (“2018 Negative List”) on 28 June, 2018, which has entered into force on 28 July 2018. Subsequently, the Special Administrative Measures for Foreign Investment Access to Pilot Free Zones (“2018 FTZ Negative List”) was also released on 30 June, effective from 30 July, 2018.  By releasing the 2018 Negative List and 2018 FTZ Negative List, the Chinese government further liberalizes the market access in more than 20 sectors to foreign investments, including but not limited to agriculture, energy, resources, finance, automotive, ship and aviation devices manufacture, infrastructure, transportation, trade and culture.

Vorgeschlagene EU-Richtlinie zur grenzüberschreitenden Mobilität

Am 25. April 2018 hat die Europäische Kommission neue gesellschaftsrechtliche Vorschriften vorgeschlagen, die Unternehmen die Verschmelzung, Spaltung oder Umwandlung im Wege einer grenzüberschreitenden Tätigkeit innerhalb der Europäischen Union erleichtern.

Der Vorschlag wird dem Rat der Europäischen Union und dem Europäischen Parlament zur Prüfung und Annahme vorgelegt. Nach Annahme des Vorschlags müsste die neue Richtlinie in allen EU-Mitgliedstaaten in nationales Recht umgesetzt werden.

Dutch Supreme court provides clarity on shareholders' rights to place items on the agenda

The right of shareholders to put items on the agenda of the general meeting pursuant to Section 114a of Book 2 of the Dutch Civil Code, has proved to be an effective means in recent years by which (activist) shareholders have been able to influence the strategy of listed companies. On 20 April last, the Dutch Supreme Court issued an important ruling with regard to the right to place items on the agenda, which shows that shareholders cannot oblige a company to include items which belong to the exclusive competence of the management board on the agenda of the general meeting for a vote.

Publication by Anneke Pelser and Suzanne Gerritse in "tijdschrift Arbeidsrechtpraktijk" (TAP): THE EXTENDED PROBATIONARY PERIOD: A DESIRABLE CHANGE?

The new coalition government has formulated its new policy intentions for reform of employment law regulations. These policy regulations referred to as 'Confidence in the Future' outline a number of changes to employment law regulations aimed at providing a more attractive climate for employers to, inter alia, enter into employment contracts for an indefinite period of time. In this article (in Dutch) we will first of all deal with these questions. Subsequently, we will, by analyzing case law, identify possible consequences of extending the probationary period, and in particular, discuss the need for doing so.

Implementation of the Fourth Anti-Money Laundering Directive - Part II

On 6 March Parliament approved the virtually unchanged bill for the implementation of the European fourth anti-money laundering directive (in short: the 'Implementation Act') without too many questions and discussions, despite the necessary criticism. The only amendment to the proposal since the amending letter of 31 January (in which only minimal technical corrections have been made to the text) has been to double the fine that can be imposed on the institutions subject to the Money Laundering and Terrorist Financing (Prevention) Act ('Wwft').

Deposit annual accounts in digital form

Legal entities are required to publish the annual accounts by filing them with the Chamber of Commerce. In the past, legal entities could either deposit the annual accounts in printed form or in digital form. Following the entry into force of the Decree of electronic filing (Besluit elektronische deponering handelsregister) on 1 July 2016, the Dutch trade register will no longer accept annual accounts in printed form.

Evaluation of the Management and Supervision Act

The Management and Supervision (adjustment) Regulations Act Public and Private Companies  (Wet bestuur en toezicht) (hereafter: the Act) entered into effect on 1 January 2013. During the parliamentary debate the Minister of Security and Justice had pledged that the Act was to be evaluated three years after it entered into effect. At the request of the Minister of Security and Justice the research was conducted by the University of Groningen and the results of the research were published on 15 December 2017. This article will address some of the research team’s conclusions and recommendations.

Transfer restrictions and the appointment of an independent expert

Since 1 October 2012, the obligated nature of transfer restrictions has been abolished for a private company with limited liability (besloten vennootschap met beperkte aansprakelijkheid).

Am 1. Juli 2017 ist das Gesetz gegen unangemessen lange Zahlungsfristen in Kraft getreten (das „Gesetz“). Das Gesetz soll verhindern, dass große Unternehmen unangemessen lange Zahlungsfristen durchsetzen und, dass eine maximale Zahlungsfrist von sechzig Tagen für große Unternehmen gelten soll, wenn diese Handelsverträge mit unabhängigen, kleinen oder mittelständischen Unternehmen abschließen.

Employee protection during pre-pack

On 22 June 2017, the European Court of Justice (hereinafter “ECJ”) clarified the uncertainty around protection of employees against dismissal during a pre-pack. The ECJ has ruled that the EU Directive on Transfer of Undertakings (Directive 2001/23/EC) also applies in case of a relaunch of a company due to a pre-pack. As a result of this the employees are transferred to the restarting company by operation of law upon retention of their terms and conditions of employment.

Enforcement of Act DBA further suspended until 1 July 2018

On 1 May 2016 the Deregulation Assessment Labor Relations Act (“Wet Deregulering Beoordeling Arbeidsrelaties”) came into force. This Bill has replaced the VAR-certificate. The VAR-certificate served as a tool for assessing whether or not an employment relationship exists. However, it offered independent contractors less legal certainty.

REFORM DER AKTIONÄRSRECHTERICHTLINIE VERÖFFENTLICHT

Am 20. Mai 2017 wurde die geänderte Aktionärsrechterichtlinie (die „Richtlinie“) im Amtsblatt der EU veröffentlicht. Das Ziel der Richtlinie ist die Förderung einer aktiven und transparenten Einbeziehung der Aktionäre von EU börsennotierten Unternehmen. Die Richtlinie wird zwei Jahre nach der Veröffentlichung im Amtsblatt Inkrafttreten und muss spätestens dann in nationales Recht umgesetzt worden sein.

Gesetzentwurf zur Verwirklichung UBO-Register zur Konsultation veröffentlicht

Am 31. März wurde der Gesetzentwurf zur Registrierung von wirtschaftlich Berechtigten zur Konsultation veröffentlicht. Der Gesetzentwurf bewirkt die Umsetzung der Verpflichtung zur Führung eines zentralen Registers mit Informationen über den wirtschaftlich Berechtigten (Ultimate Beneficial Owner oder „UBO“) von Unternehmen und juristischen Personen, die sich aus der vierten europäischen Geldwäsche Richtlinie ergibt. Das UBO-Register wird vom Handelsregister der Handelskammer geführt.

Interpretation of an earn-out arrangement in case of unforeseen circumstances

On 13 July 2016, the Dutch district court of Northern Netherlands ruled on the interpretation of an earn-out arrangement. In this case, the acquired company suffered losses in the year following the acquisition and this circumstance was not foreseen by the parties. The court has ruled that in that case, a linguistic explanation of the arrangement is decisive.

Central shareholders’ register

On 19 January 2017, a private member’s bill has been filed to the Lower House of Dutch Parliament with regard to the establishment of a central shareholders’ register (‘centraal aandeelhoudersregister’). 

The object of the establishment of a central shareholders’ register is to create more insight into the identity of shareholders of legal entities. In addition, it appears that a physical shareholders’ register is often untraceable or the information is not up to date. The legislator would like to accomplish a higher degree of reliability of this information.

HÖCHSTE ABFINDUNGSVERGÜTUNG VERGEBEN

Die jüngste Rechtsprechung hat festgestellt (das Gericht von Gelderland ECLI:NL:RBGEL:2016:7113), dass die Kündigung des Arbeitsvertrages eines Geschäftsführers ohne vertretbaren Grund zu einer erheblichen (zusätzlichen) Abfindungsvergütung führen kann. NEUES EUROPÄISCHES DATENSCHUTZGESETZ

Am 14. April 2016 hat das europäische Parlament der Datenschutz-Grundverordnung zugestimmt. Diese Verordnung ersetzt ab dem 25. Mai 2018 die jetzige Datenschutzrichtlinie und das damit zusammenhängende Datenschutzgesetz. Ab dem Zeitpunkt gilt in der gesamten EU eine einheitliche Gesetzgebung, anstatt 28, auf EU Gesetzgebung basierende, nationale Gesetze.

Gesetz zur elektronischen Hinterlegung im Handelsregister ist zum 1. Juli 2016 in Kraft getreten

Am 1. Juli 2016 ist das Gesetz zur elektronischen Hinterlegung im Handelsregister in Kraft getreten. Das Gesetz ermöglicht einen Ministerialerlass auf Grund dessen Dokumente wie Jahresabschlüsse mittels Standard Business Reporting (SBR) elektronisch beim Handelsregister der Handelskammer hinterlegt werden müssen.

Gesetz Haus für Informanten ist in Kraft getreten

Am 1. Juli 2016 ist das Gesetz Haus für Informanten (Wet Huis voor klokkenluiders) in Kraft getreten. Ziel des Gesetzes ist die Verbesserung der Bedingungen für die Meldung von gesellschaftlichen Missständen innerhalb Organisationen durch Untersuchungen nach Missständen zu ermöglichen und Informanten besser zu beschützen.

Gesetz zivilrechtliches Geschäftsführungsverbot ist zum 1. Juli 2016 in Kraft getreten

Am 1. Juli 2016 ist das Gesetz zivilrechtliches Geschäftsführungsverbot in Kraft getreten, wodurch das Insolvenzgesetz geändert worden ist. Das Gesetz ermöglicht ein Geschäftsführungsverbot für Geschäftsführer für maximal fünf Jahre. Ziel des Gesetzes ist Insolvenzbetrug zu bekämpfen und zu vermeiden, dass betrügerische Geschäftsführer ihre Aktivitäten als Geschäftsführer oder Mitglied des Aufsichtsrats bei einem Unternehmen fortsetzen können.

Der Oberste Gerichtshof der Niederlande hat in seinem Urteil vom 3. Juni 2016 (ECLI:NL:HR:2016:1046) entschieden, dass sowohl der Veräußerer als auch der Erwerber einer Sache unter Eigentumsvorbehalt eingeschränkt Eigentümer der Sache werden, der Veräußerer unter der auflösenden Bedingung der vollständigen Erfüllung der Kaufpreisforderung und der Erwerber unter der aufschiebenden Bedingung der vollständigen Erfüllung der Kaufpreisforderung.
